The General Terms and Conditions S 2022 are based on the previous version S 2012. They are primarily intended for use in international contracts for the sale and delivery of products in the mechanical engineering industry in general. They can also be used for national contracts, but are not suitable for consumer contracts.
The main changes include an adapted definition of gross negligence, a special clause on intellectual property, a simplification of payment terms and a clarification of liability for infringement of intellectual property rights.
There is a special annex that should be used in contracts where German law applies. According to S 2022, the law of the supplier's country is applicable unless otherwise agreed.
For the supervision of assembly, there is a supplementary S 2022 S, which has also been updated.
If assembly is part of the agreed scope of delivery and services, the ORGALIM SI 2014 is an alternative.
As the topic of software is integrated into the current terms and conditions, the separate SW 2014 supplements are no longer offered in a current form.
